To participate in the Contest, you must agree to and abide by these Official Rules.

PRELIMINARY INFORMATION: The Hobbit Trilogy Fan Challenge ("Contest") begins on December 23, 2014 at 12:01:00 a.m. U.S. Pacific Time ("P.T.") and ends on April 22, 2015 at 11:59:59 p.m. P.T. ("Contest Period"). There will be a separate, concurrent Local Contest ("Local Contest") conducted in each of the following countries: US, Canada (excluding Quebec), United Kingdom, Germany, Australia, New Zealand, Japan, Norway, Sweden, Finland, Spain, France, Italy, Belgium, The Netherlands, Brazil, Korea, Russia, Denmark, and Mexico for a total of twenty (20) Local Contests. Each Local Contest will have its own Local Contest Winner/Finalist ("Finalist"); entries received for a given country's Local Contest may be eligible for that country's Local Contest only (and will not be eligible for any other country's Local Contest Prize). One (1) Grand Prize winner will be selected by a judging panel from among all verified Finalists from all twenty (20) participating countries.

 

CONTEST OVERVIEW:  Warner Bros. Home Entertainment Inc. ("Sponsor") is looking for fans of The Hobbit Trilogy to submit a video re-creating selected scene(s) from the films. Fans will vote on a selection of scenes from each film in the trilogy for their favorite scenes to re-create with the top scene from each film being selected based on the results of fan voting. Transcripts for the selected scenes will be provided on January 13, 2015 at 9:00:00 a.m. PT. Each eligible individual Contest participant (each a "Contestant", collectively the "Contestants") must submit a short film or video no longer than two (2) minutes in duration that re-creates one or more of the scenes and follows the provided transcript (sometimes referred to as sweded video) ("Submission Video").  Contestants may submit up to fifteen (15) videos total for any of the three selected scenes (all submission may be for one of the selected scenes or any combination of the three selected scenes but may not exceed fifteen (15) in total). Please review the Rules Governing Submission Video Content and Technical Requirements for Submission Videos below before submitting any videos.

 

VOTING FOR THE ELIGIBLE SCENES:  A selection of scenes from each film will be posted on YouTube.com/TheHobbit/FanChallenge ("Website") starting on December 23, 2014.  Fans can vote on which scene they would like to re-create (or see re-created) from the posted selection by selecting the scene from a gallery on the Website and clicking the "Vote" button. Limit of one (1) vote per video per film per day (24 hour period) during the Scene Voting Period. A YouTube account is NOT required to vote. Whichever scene from each film receives the most votes will be an "Eligible Scene" for the contest (collectively, "Eligible Scenes"). There will be three eligible scenes (one from each film) in total. Once the scenes have been selected, the Sponsor will provide the transcript (in the official or primary language of all eligible countries) from each Eligible Scene to use for creating your video. You do not need to participate in the scene voting to enter the Contest.

2.     Administrator: LeadDog Marketing Group, Inc., 440 9th Avenue, 17th Floor, New York, NY 10001 USA ("Administrator").

 

3.     Eligibility: The Contest is open only to legal residents of the 50 United States and the District of Columbia, Canada (excluding Quebec), United Kingdom, Germany, Australia, New Zealand, Japan, Norway, Sweden, Finland, Spain, France, Italy, Belgium, The Netherlands, Brazil, Korea, Russia, Denmark, and Mexico who are 18 years of age or the age of majority in their country/province/state of legal residence at time of entry (whichever is older). Void in Quebec. Void elsewhere and where prohibited or restricted by law. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, Administrator, Warner Bros. Pictures Inc., New Line Cinema, Wingnut Films, WETA Workshop, Google, Inc., any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the prizes, persons involved in the creation, development or production (including cast and crew) of The Hobbit: The Battle of Five Armies movie or other movies in The Hobbit Trilogy and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to participate or win any prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. (For the avoidance of doubt, persons who vote on the scenes may also submit a video and enter the Contest.) Potential winners may be required to provide proof of legal residency upon request prior to prize award.

 

4.     Contest Schedule: Please consult the overview of key dates and times. The Contest begins on or about 12:01:00 a.m. United States Pacific Time ("P.T.") (e.g. Los Angeles time)/8:01:00 a.m. Greenwich Mean Time ("GMT") on December 23, 2014 through 11:59:59 p.m. PT on April 22, 2015/6:59:59 a.m. GMT on April 23, 2015 ("Contest Period"). IMPORTANT NOTICE TO CONTESTANTS: ALL TIMES LISTED THROUGHOUT THE REMAINDER OF THE RULES ARE IN UNITED STATES PACIFIC TIME. CONTESTANTS ARE SOLELY RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME ZONE IN THEIR RESPECTIVE JURISDICTIONS. Sponsor's computer is the official clock for the Contest.  Videos must be submitted during the Entry Period; i.e., between 12:01:00 am PT on January 14, 2015 and 11:59:59 p.m. P.T. on February 1, 2015.

 

5.     How to Enter (3 Steps):

 

Step 1 – Navigate to YouTube.com/TheHobbit/FanChallenge

 

Navigate the internet to YouTube.com/TheHobbit/FanChallenge and download the asset pack (for your participating country of residence) which includes transcript(s) for the scene(s) you will recreate, the end card, instructions, and other helpful information. 

 

Step 2 – Submission of Video

Read and follow the Rules Governing Submission Video Content and Technical Requirements for Submission Videos below. You will need a YouTube account to upload your video. Upload your video to YouTube and tag it with #HobbitChallenge. You may use the YouTube Video Editor if needed during the submission period. 

 

Limit of fifteen (15) Submission Videos, per person and YouTube account. If submitting multiple Submission Videos (within the limit of fifteen (15)), each Submission Video will be considered independently, not collectively with other Submission Videos submitted by Contestant. Contestants attempting to submit more than fifteen (15) videos will be disqualified. There will only be one video chosen from each Local Contest to continue to the grand prize judging; see Rule 6 below. Contestants may only enter into one Local Contest and any entry or attempts to enter more than one Local Contest will result in disqualification from the Challenge (i.e., disqualification from all Local Contests).

 

Rules Governing Submission Video Content:

 

       All videos submitted by Contestants ("Submission Videos") must include the end card provided in the downloadable asset pack on the Website. The end card must be attached at the end of the Submission Video and be on screen for three (3) seconds. You must also include the hashtag, #HobbitChallenge, in the video's title and/or description.

 

       All Submission Videos must be in the official or primary language spoken in that Local Contest's country. For the United States, the Submission Videos must be in English.

o   Contestants submitting videos that are not in English may submit English subtitles; otherwise, Sponsor reserves the right to translate the transcript of the video into English for preliminary review and judging purposes, if applicable. (In such event, submission of a Contest entry constitutes Contestant's acceptance and approval of the accuracy and comprehensiveness of Sponsor's translation of his/her video into English and any objection to such translation is thereby waived.)

 

       Each Submission Video must not exceed two (2) minutes in length. The three (3) seconds during which the end card appears are not included in the official length of the Submission Video.

 

       Each Submission Video must follow the transcripts and re-create one (1) or more Eligible Scenes, in whole or in part (sometimes referred to as sweded videos).  DO NOT submit a video re-creating any other scene, including without limitation the other scenes that were part of the fan voting for the Eligible Scenes but were not selected in the fan voting. Videos that do not re-create Eligible Scene(s) or follow the provided transcript(s) for such scene(s) will be disqualified.

 

       Other than the end card, transcript, and other materials provided by Warner Bros. for this Contest, the Submission Video must be wholly original and created and owned by you, the Contestant. The Submission Video must not have been plagiarized, submitted in previous contests or film festivals, or featured online for sale or advertising revenue.

 

       DO NOT include any third-party music, compositions, arrangements, lyrics or poetry, including without limitation any music from The Lord of the Rings Trilogy and from other scenes in The Hobbit Trilogy.  You may vocally perform music (sing, hum, etc.) that is included in the Eligible Scene but only music from that Eligible Scene. 

 

       DO NOT depict any person (living, dead, or fictional) unless provided in the transcript(s) or depicted in the Eligible Scene(s). Submission Videos may include only you and those individuals who have expressly given you permission to be included in the Submission Video and Contest.

 

       DO NOT include any dialogue, text, artwork, props, references, or materials of any kind from The Silmarillion. DO NOT include any dialogue, text, artwork, props, references, or materials of any kind from any other works by J.R.R. Tolkien that are not included in the Eligible Scenes and transcripts provided.

 

       DO NOT include any third-party trademarked or copyrighted materials (other than the

materials provided by Sponsor or included in the Eligible Scenes). Submission Videos must not infringe, misappropriate, or violate the rights of any third party, including without limitation, intellectual property rights (including moral rights) or the right of privacy or publicity.

 

       Submission Videos must be suitable for public presentation. Submission Videos MUST NOT include nudity; obscenity; pornography; offensive language, depictions of drugs, alcohol, tobacco products, or any harmful or illegal activity; material that is fraudulent, deceptive, racially offensive, sexually explicit, threatening, hateful, harassing, disparaging, libelous (including trade libel) or defaming; or include any other content that Sponsor in its sole discretion deems inappropriate for this Contest or otherwise breaches these Official Rules.

 

       Submission Videos must not create or imply any association or endorsement between Sponsor and any individual, entity, or products and services.

 

       The Submission Video may not be used to advertise Contestant's or any third party's product or services.

       All video submissions must adhere to the YouTube's Terms of Service (http://www.youtube.com/static?gl=US&template=terms) and Community Guidelines (http://www.youtube.com/t/community_guidelines). 

 

Sponsor grants Contestant a non-exclusive license to use the provided transcripts and Eligible Scenes only for the purpose of creating videos to be entered in this Contest as set forth in these Official Rules. At all times, as between Sponsor and Contestant, Sponsor shall at all times retain all right, title and interest in the transcript and film footage as well as all copyrights therein; this grant of a license is not intended to transfer any ownership rights in the transcripts, Eligible Scenes or the copyrights therein. This grant of license is made contingent upon the Contestant maintaining all copyright and trademark notices included in the transcripts and film footage. The licensed rights will automatically expire at the end of the Contest. Any other use of the transcripts and film footage is strictly prohibited and constitutes an actionable violation of Sponsor's rights.

 

By submitting a video to the Contest, Contestant grants Sponsor a royalty-free, non-exclusive license to post Contestant's video, name, voice, likeness and all other information about the Contestant contained in the video on the World Wide Web, and to otherwise use, reproduce, communicate to the public and cause to be seen and/or heard in public, in particular all digital and online media, printed media, social media for all purposes in connection with this Contest, Contestant's video and the names, voices, images, photographs, and likenesses therein without compensation in accordance with the requirements of this Contest and the advertising, promotion, and publicity of the Contest and/or The Hobbit Trilogy and each individual film within that trilogy, for the duration of the copyrights.  

 

Technical Requirements for Submission Videos:

 

       All Submission Videos must be received by 11:59:59 p.m. P.T. on February 1, 2015.

       Submission Videos must be in .MOV, .MPEG4, MP4, .AVI, WMV, .MPEGPS, .FLV, 3GPP or WebM file formats.

       Submission Videos cannot exceed 128GB in size.

       Submission Videos MUST NOT contain any viruses, spyware, malware, bugs, or other deleterious materials that are designed to harm the functionality of a computer, a website, or the Contest.

       Once submitted, a Submission Video may not be modified by Contestant.

       Sponsor will not return submitted videos. YOU SHOULD RETAIN A BACK-UP COPY OF YOUR VIDEO AND ANY OTHER CONTENT YOU SUBMIT.

 

If a video is unable to be viewed by Administrator for any reason whatsoever outside of Administrator's control, that video shall be disqualified (and Released Parties, as defined below, will not be responsible or liable for any such inability).

 

Use of automated/programmed/robotic means of participation is prohibited and videos completed or submitted using such illicit means will be void, and the applicable participant may be disqualified from the Contest. Sponsor and Administrator will not be responsible for late, lost, incomplete, corrupted, inaccessible, garbled or misdirected registration information, or for videos not being uploaded due to technological/programming/electronic error, malfunction or failure or for any other reason.

 

Contestant Warranties and Representations

By submitting a video, Contestant gives permission, and warrants and represents that he/she has obtained all rights, including if other than Contestant, necessary to give such permission, to Sponsor and hereby grants Sponsor a royalty-free, non-exclusive license to post Contestant's video, name, voice, likeness and all other information about the Contestant contained in the video on the World Wide Web, and to otherwise use, reproduce, communicate to the public and cause to be seen and/or heard in public Contestant's video and the names, voices, images, photographs, and likenesses therein  without compensation in accordance with the requirements of this Contest and the advertising, promotion, and publicity of the Contest and/or The Hobbit Trilogy and each individual film within that trilogy, for the duration of the copyrights, and otherwise, as stated in these Official Rules (as solely determined by Sponsor). 

 

Except if Contestant is resident in a jurisdiction in which moral rights cannot be waived under applicable copyright law, Contestant waives any "Moral Right of Authors" (Droit Moral) in the video. Contestant further agrees, upon Sponsor's request and without compensation, to sign any and all necessary and appropriate documents so as to effect, perfect or record the preceding grant of license rights and moral rights consent and (if necessary) to procure signatures from any third parties. Contestant further expressly acknowledges that Sponsor does not owe him/her a duty of confidence (or fiduciary duty or the like) with regard to his/her video.

Contestant further agrees that Sponsor has wide access to ideas, stories, designs and other literary/artistic materials submitted to it from outside sources or being developed by its own employees and that such ideas/stories/designs/literary/artistic materials may be competitive with, similar to (or even identical to) his/her video and that Sponsor shall have no liability to Contestant or any third party in conjunction therewith.

Contestant further warrants and represents that he/she has followed these Official Rules and that his/her video: (1) does not violate any law or regulation; (2) does not violate or infringe any right of any third party, including but not limited to intellectual property rights, such as but not limited to rights of copyright, trademark or patent, or rights of publicity or privacy; (3) is not defamatory, slanderous or libelous and does not portray any person in a false light; (4) is Contestant's own original work (except for the transcripts and elements from the Eligible scenes that belong to Sponsor) and Contestant owns or controls all right, title and interest in the video, including but not limited to its copyright; (5) has not been accepted for previous publication or submitted in any other competition or contest; (6) does not contain any virus, bugs, or other deleterious material; (7) that the Contestant arranged for the video to be made and is its author and filmmaker; and (8) that before involving them in the making of the video, Contestant disclosed to all other persons so involved these Official Rules and in particular the "PRIZE" section below.

By entering, Contestant agrees to indemnify and hold harmless Released Parties (as defined below) from any action or liability resulting from the publishing of his/her video and/or use of the video as otherwise permitted by these rules.

 

If preliminarily determined to be eligible by Sponsor/Administrator in their sole discretion, the Submission Video will be posted on the Website for purposes of fan voting as discussed below. Relative to such posting, Contestant understands and agrees that (a) the posting of video is subject to technological, electronic, programming and other limitations/malfunctions and the Submission Video as posted may not be exactly the same as the Submission Video submitted by Contestant as part of his/her Entry; (b) his/her Submission Video may be posted by Sponsor/Administrator in any order, format, sequence or pattern, which may or may not be altered or varied by Sponsor in its sole discretion one (1) or more times during the Fan Voting Period; (c) Submission Videos will be attributed to Contestants by the YouTube screen name used to submit the Submission Video. Posting of video merely indicates that entry has been preliminarily determined to be eligible for the Contest, NOT that entry has been selected as a potential Finalist.

 

Sponsor and Administrator will use commercially reasonable efforts to promptly review and post Submission Videos for fan voting in a timely manner. However, Contestant indemnifies and releases Sponsor and Administrator from any and all liability in conjunction with any delay in posting any Submission Video or if a Submission Video is determined not to be preliminarily eligible and therefore not posted on Website.

 

FOR ALL VIDEOS POSTED ON THE WEBSITE, THE VIDEOS REPRESENT SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL CONTESTANTCONTESTANT AND DO NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR IN ANY MANNER. SPONSOR IS ACTING AS A PASSIVE CONDUIT FOR THE POSTING/PUBLICATION OF VIDEOS AND HAS NO OBLIGATION AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONJUNCTION WITH SCREENING, MONITORING, OR REVIEWING THE CONTENT OF VIDEOS. SPONSOR WILL NOT EDIT VIDEOS PRIOR TO POSTING THEM ON THE WEBSITE FOR PURPOSES OF THE CONTEST.

 

Step 3 – Register

 

Login on the Website with your YouTube account and submit your video from your YouTube account in accordance with the instructions at the entry form on the Website. Provide all the information required, including full name and email address. Or, if information has been pre-populated at time of registration based on YouTube login, confirm that the information is accurate and correct as necessary. 

 

Carefully read the Official Rules, then click the check box signifying that you have read, fully understand and agree to these Official Rules.

 

IF YOU DO NOT CHECK THE BOX INDICATING YOUR AGREEMENT TO THE OFFICIAL RULES AND SPONSOR'S PRIVACY POLICY YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE CONTEST OR WIN PRIZE(S).

 

The Submission Video in conjunction with proper registration and agreement to the official rules is the "Entry" by a "Contestant".

 

Sponsor and Administrator reserve the right in their sole discretion to disqualify or cease or refrain from posting or publishing any Submission Video and/or Entry that does not comply with the Rules Governing Submission Video Content and/or Technical Requirements for Submission Videos or any other requirement of these Official Rules. 

 

Your personal data will be collected for the purposes of conducting this Contest. If you do not provide your personal data, you will not be able to enter the Contest. Use of personal data shall be subject to the privacy policy of http://www.warnerbros.com/#/page=privacy-policy/. The privacy policy contains information about how an Contestant can access or correct personal information held about them or to make a privacy complaint. Please note that your personal data may be transferred to overseas recipients, including in countries such as the United States.

 

Personal information collected from Contestants will be used by Sponsor/Administrator solely in connection with the Contest and will not be disclosed to any third party or used for any other purpose except for the purpose of operating the Contest and fulfilling prizes where applicable. The declared prize winners' information will be shared by the Judging Panel with Sponsor and Administrator, specifically the winner's name and/or e-mail address, only to the extent that this information is required to award the prizes for this Contest.

 

For French, Spanish, Russian, Dutch, New Zealand, Korean and German Contestants: Personal information includes name, address, email address, date of birth and likeness and will be used to: (a) conduct the Contest as described in these Official Rules; contact potential winners; and (b) if an entrant or selects to receive additional information from the Sponsor on the entry form, to send additional information to that entrant. Pursuant to French, Spanish, Russian, Dutch, New Zealand, Korean or German law (as applicable) pertaining to data collection and processing, you have a right of access to, modification and withdrawal of your personal data. You also have the right of opposition to the data collection, under certain circumstances. To exercise your rights under applicable data protection and privacy laws, you may write to: LeadDog Marketing Group, Inc., 440 9th Avenue, 17th Floor, New York, NY 10001, USA. The data controller is the Sponsor, which is Safe Harbor registered, which offers an adequate level of protection under Section 25 of the 95/46/CE Directive. The recipients of your data are the Sponsor and Administrator.

 

In the event of any dispute concerning the identity of any Contestant, the entry will be deemed submitted by the natural person who is the authorized holder of the transmitting e-mail account associated with the YouTube account used to enter the Contest. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

 

PARTICIPATION VIA MOBILE/WIRELESS DEVICE: If you are a wireless service subscriber and have a smart phone, tablet or other wireless device that allows you access to the internet, you may also enter the Contest via any of those devices during the Contest Period. Data rates may apply to use of mobile/wireless device for participation in the Contest, according to the terms and conditions of your Service Agreement with your wireless carrier. Each wireless carrier's rate plan may vary, and Contestant should check with his/her wireless carrier prior to Contest participation so as to determine the applicability and amount of such charges. Participation via mobile/wireless device is not available on all carriers or in all areas; in addition, not all mobile/wireless devices feature the necessary functionality to participate in the Contest or may not continue to work in the event of product, software, coverage or other service changes made by one's wireless carrier.

 

6.     Fan Voting: Fan voting in each Local Contest on the Submission Videos will be open on 12:01:00 a.m. PT, February 9, 2015 and continue until 11:59:59 p.m. P.T. on February 13, 2015; i.e., the Fan Voting Period.

 

The top thirty (30) Submission Videos i.e. the Submission Videos with most eligible votes determined by the fan voting in each Local Contest will move on to the judging portion of the contest.  If thirty (30) or less Submission Videos are submitted for any Local Contest, all the Submission Videos submitted for that Local Contest will move on to the judging portion of that Local Contest. If no videos are submitted in any Local Contest, there will be no Finalist in that Local Contest and that Finalist Prize will NOT be awarded. Sponsor/Administrator shall not have any liability if less than thirty (30) Submission Videos (from one or more Local Contests) are forwarded for the initial judging.

 

Regarding Public Voting: Votes must be manually key-stroked in accordance with the instructions on the Website; such instructions are made a part of these Official Rules and incorporated by reference herein. Use of automated or programmed voting methods is prohibited and any votes garnered by such means will be voided. Use of device or artifice to manipulate or compromise the integrity of the voting procedure will result in voiding of votes deemed by Sponsor/Administrator in their sole discretion to have been affected by such actions and/or disqualification of Contestants whose entries benefited from such actions and/or other legal sanctions. LIMIT ONE (1) VOTE PER VIDEO PER DAY (I.E., 24 HOUR PERIOD) DURING THE FAN VOTING PERIOD. A YOUTUBE ACCOUNT IS NOT REQUIRED TO VOTE.

 

Judging: Judging will be conducted in three stages. The judging for all stages will be based on the following criteria: 30% for Dramatic Interpretation; 20% for Creativity; 10% for Technical Execution: Camera/Sound/Lighting/Editing and 40% for Overall Impression.  In the event of a tie, the Entry from among all such tied entries with the higher/highest score in the "Overall Impression" criterion will be considered the finalist/winner (as applicable).

 

For each Local Contest, the initial judging will be conducted by a panel of judges chosen by Administrator for that Local Contest, who will select the top ten (10) Submission Videos from among the top thirty (30) Submission Videos as discussed above. The top ten (10) Submission Videos will advance to the second round of judging.  If ten (10) or fewer Submission Videos have been submitted in a Local Contest, all Submission Videos from that Local Contest shall move on to the second round of judging.  In the event of a tie, the Submission Video from among all such tied Submission Videos which received the most votes as of February 13, 2015 at 11:59:59 p.m. P.T. will advance to the second judging round. Those entries that advance from the fan voting (i.e., the 30 Submission Videos) but do not advance from the initial round of judging will not receive a prize.

 

In the second round of judging, the videos will be evaluated by a panel of judges from the Local Contest country chosen by Sponsor, who will select for each country a Local Contest Winner ("Finalist"). If no videos are submitted in any Local Contest, there will be no Finalist in that Local Contest and that Finalist Prize will NOT be awarded.  If there are less than ten videos submitted and the judging panel deems that there are no videos submitted that meet the judging criteria, there will be no Finalist in that Local Contest and that Finalist Prize will NOT be awarded.

 

In the third and final judging round, all Finalists (from all Local Contests) will then be evaluated by a qualified panel of judges including at least one independent judge who will determine the Grand Prize Winner.

 

7.     Finalist Notification & Verification: During the period March 3 – March 23, 2015, potential Finalists will be notified by e-mail and/or phone using the contact information provided by the Contestant at the time of entry (the "Initial Notification"). Potential Finalists will have three (3) business days (with business days determined per the U.S. Calendar) to respond to the Initial Notification. Once a potential Finalist responds to the Initial Notification, he/she will be provided with a written affirmation of Eligibility, Release and Indemnification, Grant of Rights, a Publicity Release, as well as any other documents Sponsor may require (including without limitation, release from the potential Finalist's film crew, if and as applicable) (collectively, "Finalist Documents"), which each potential Finalist will be required to sign and return within an indicated time period.

 

Each potential Finalist will have ten (10) business days from the date of transmission of the Finalist Documents to execute and return the Finalist Documents. Execution and timely return of these items is mandatory to become a Finalist. Finalists are encouraged to consult with legal counsel in reviewing and executing the Finalist Documents.

 

As a condition of becoming a Finalist, each Contestant selected as a potential Finalist must meet the following requirements and failure to do so may result in disqualification in Sponsor's sole discretion: (A) potential Finalist's failure to respond to the Initial Notification within three (3) business days from time of Initial Notification; (B) the return of any email notification as undeliverable (or inability to contact potential Finalist via phone) after three (3) attempts; (C) potential Finalist's failure to provide Sponsor with satisfactory proof that he/she is the person identified in the Entry; (D) potential Finalist's failure to execute and return any of the Finalist Documents within ten (10) business days of transmission of such documents to potential Finalist; and (E) any other non-compliance with these Official Rules. If potential Finalist is disqualified for any reason, he/she will forfeit the opportunity to possibly win the Grand Prize (and the Finalist Prize); Sponsor shall have no liability to such disqualified individual and the next highest ranked Finalist Entry/Video (in the applicable Local Contest) will be deemed a potential Finalist (for the applicable Local Contest).

 

8.   Prizes, Approximate Retail Values ("ARV"):

 

Grand Prize (1 winner): The Grand Prize Winner will receive a 5-day/4-night trip for the winner and one (1) guest to Auckland, New Zealand. The trip consists of round-trip Economy air transportation for winner and guest between the major international airport near the winner's home (as per entry form) and Auckland, New Zealand; 4-night hotel accommodations (one standard room, double occupancy; hotel to be selected in Sponsor's sole discretion) in an Auckland hotel; round-trip ground transportation between Auckland, New Zealand area airport and hotel; ground transportation to and from Matamata, New Zealand for a VIP tour of the Hobbiton Movie Set & Farm Tours. Total ARV of Grand Prize: $12,000.00 (USD). If actual prize value is less than total ARV, winner will not receive the difference in cash.

Winner is solely responsible for all costs and expenses not specified herein, including, but not limited to, meals, tips, hotel incidentals, merchandise, local and long distance telephone calls, additional ground transportation, and travel insurance.

Actual value of trip may vary based on point of departure and dates of travel. Travel must be completed by March 31, 2016 and Grand Prize Winner must provide at least thirty (30) days advanced notice prior to intended date of departure. Accommodations and travel are for two (2) adults (or one (1) child accompanied by one (1) adult parent or legal guardian) sharing one (1) accommodation. Guest (or if a minor, his/her parent or legal guardian), must sign and return a Liability Release and a Publicity Release (where lawful), prior to issuance of travel documents. If guest is a minor, he/she may only accompany his/her parent or legal guardian (i.e., the winner) on Grand Prize trip. Trip is non-transferable and cannot be extended beyond the valid date. Grand Prize Winner and guest must travel together on specified itinerary, including same departure date, destination and return date, or Grand Prize may be forfeited in its entirety and awarded to an alternate winner, provided sufficient time remains to verify alternate winner and ticket prize; otherwise, prize will not be awarded. Grand Prize Winner and guest must comply with all airport, venue security, and visa requirements; or prize will be forfeited in its entirety and may be awarded to an alternate winner, time permitting. Sponsor reserves the right in its sole discretion to suspend or cancel the participation of any winner or travel companion due to noncompliance with any security or visa procedure or inappropriate behavior or misconduct. Travel and accommodation restrictions and blackout dates may apply. All travel dates and arrangements are subject to change, availability and Sponsor's approval. Sponsor and its agencies are not liable for any expenses incurred as a consequence of flight cancellation/delay. Certain documentation and requirements may be necessary for travel, such as valid passport and visa. Grand Prize Winner and his/her guest are solely responsible for any documentation and requirements and determining applicable procedures and restrictions. In addition, the Grand Prize Winner may be required to present a valid credit card at the hotel at the time of check-in. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Grand Prize Winner and guest must provide own transportation to and from departure airport. Grand Prize Winner and guest will not receive any award points, frequent flier miles or "perks" in conjunction with prize travel. If Grand Prize Winner chooses to travel without a guest, winner will receive prize in increments appropriate for one traveler and no compensation or additional prize will be awarded.

 

Finalist Prize (twenty (20) winners): Each Finalist will receive the following prize:

9.   Additional Prize Restrictions: Any costs and incidentals not specified herein are the winner's sole responsibility. No substitution or transfer of prize except with Sponsor's permission. Sponsor in its sole discretion may award a substitute prize or prize component of equal or greater value if advertised prize/prize component is unavailable at time of awarding for any reason. ARV of Noble Collection Pack does not reflect re-sale value of Pack or its contents. Any images of prizes/prize components in advertising are for illustrative purposes only and actual items awarded as prizes/prize components may differ from such images. Each prize must be accepted by winner with all prize components (as described above). National, Federal, state and local taxes are the sole responsibility of winners. All taxes are the sole responsibility of the winners. U.S. winner will receive a 1099 tax form reflecting actual total fair market value of Finalist Prize and Grand Prize (if applicable). Non-U.S. Winner may be responsible for U.S. Foreign withholding tax on Finalist Prize and Grand Prize (if applicable) in addition to taxes levied by his/her country of residence on value of prize[s] won (as applicable).

 

10.  Limitations of Liability: Except where prohibited, Sponsor and its agencies (including Administrator) are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to human, typographical, printing or electronic malfunction, any damage caused by or relating to any downloadable content or damage of any network, hardware or software. If for any reason the Contest (in whole or in part) is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor's control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest (in whole or in part) and/or disqualify any individual who tampers with (or attempts to tamper with) the entry process/operation of the Contest (or any part thereof). In such event, Sponsor shall conduct the Contest and make prize(s) available for the affected part(s) of the Contest in a manner which is fair, appropriate and consistent with the spirit of these Official Rules, as determined by Sponsor in its sole discretion. Notice of cancellation/termination/modification/suspension of Contest will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries/videos/votes; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail, or electronic entry/video or vote to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to Contestant's or any other person's computer or mobile device (or data/information stored thereon) related to or resulting from participation in or downloading any materials from this Contest.

11.  Additional Conditions of Participation: By participating, Contestants agree to be bound by and abide by these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects. By participating in this Contest, Contestants agree to the fullest extent permitted by law (excluding only negligence and/or other rights/interests that cannot be lawfully waived pursuant to the law of a given jurisdiction), to release and hold harmless Sponsor, Administrator, Warner Bros. Pictures Inc., New Line Cinema, Wingnut Films, WETA Workshop, Google, Inc., YouTube, Facebook, Inc., and each of their respective parents, subsidiaries, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns, and (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage to person(s) or property arising in any manner, directly or indirectly, from participation in this Contest and/or acceptance, possession, receipt or use/misuse of any prize, except that the waiver does not restrict Contestant from raising claims which cannot be waived under applicable local law in the Contestant jurisdiction such as claims regarding loss of life, body injury, or claims relating to a violation to a principle, cardinal duty under the relevant legal relationship. By participating, Contestants also authorize the Sponsor and its designees to use the Contestant's name, voice, likeness, photograph, prize information, biographical data and city and state/province/territory and/or country of residence in programming, advertising, trade and/or promotional material or on a winners' list (if applicable) without compensation or notice, to the extent permitted by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without obligation or compensation.

12.  Contestants further agree not to knowingly damage or cause interruption of the Contest and/or prevent others from participating in the Contest. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE OR AN INDIVIDUAL OTHERWISE ATTEMPTS TO DEFRAUD SPONSOR, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

 

13.  NOTHING IN THESE OFFICIAL RULES LIMITS, EXCLUDES OR MODIFIES OR PURPORTS TO LIMIT, EXCLUDE OR MODIFY ANY STATUTORY CONSUMER GUARANTEES OR ANY IMPLIED CONDITION OR WARRANTY THE EXCLUSION OF WHICH FROM THESE TERMS AND CONDITIONS WOULD CONTRAVENE ANY STATUTE OR CAUSE ANY PART OF THESE TERMS AND CONDITIONS TO BE VOID ("NON- EXCLUDABLE GUARANTEES"). EXCEPT FOR ANY NON-EXCLUDABLE GUARANTEES, AND THE SPONSOR'S OWN PRODUCT/SERVICE THAT MAY BE COVERED BY A WARRANTY (WITH SUCH WARRANTY BEING EXPRESSLY LIMITED TO ITS TERMS SUBJECT TO ANY NON-EXCLUDABLE GUARANTEE)SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF ANY PRIZE (OR ANY COMPONENT OF ANY PRIZE), INCLUDING (IN RESPECT OF ALL JURISDICTION EXCEPT AUSTRALIA), WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

 

14.  Disputes: Except where prohibited, Contestant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Central District of California or an appropriate State Court of the U.S. State of California, with Contestant expressly waiving any right of forum non conveniens, change of venue or the like; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest, but in no event attorneys' fees; unless the assistance of an attorney is required by law and (3) under no circumstances will Contestant be permitted to obtain awards for, and Contestant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Contestant and Sponsor in connection with the Contest shall be governed by, and construed in accordance with, the laws of the U.S. State of California, without giving effect to any choice of law or conflict of law rules (whether of the U.S. State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the U.S. State of California. If any part of these Rules shall be declared invalid or unenforceable by a court of competent jurisdiction, it shall not affect the validity of the balance of these Rules. In such circumstance, the provision declared invalid/unenforceable shall be re-drafted as closely to the original provision as allowed by law, so as to give effect to Sponsor's intent.

 

15.  Language Discrepancies/Severability: Should there be any discrepancy between the English language version of these Official Rules and the version of the Official Rules as translated into another language, the English language version shall prevail, govern and control in all respects. If a court of competent jurisdiction determines that any provision of these Official Rules is in violation of law or unenforceable, such provision will be replaced with a substitute provision that is legal and enforceable and most closely approximates the original intent of Sponsor. The illegality/unenforceability of a given provision will not affect the legality or enforceability of the balance of these Official Rules or the Contest itself.

 

16.  Winners' List: For the names of the winners, mail a self-addressed, stamped envelope to: The Hobbit Trilogy Fan Challenge Contest Winners, c/o LeadDog Marketing Group, 440 9th Avenue, 17th Floor, New York, NY 10001 USA, for receipt no later than May 29, 2015 or go to the Website.

 

17.  For French Contestants:  French law does consider abusive per se the provisions which limit the right of the consumer to bring a legal action or to limit the consumer's ground of action/amount of damages claimed. These provisions therefore do not apply towards a French consumer.
